Madarsa Instructor Terms

Thank you for joining Madarsa as an instructor. These Instructor Terms (“Terms”) are a part of the Madarsa Terms of Use and are a legal agreement between you (“Instructor” or “you”) and Dcimal Intelligence Pvt Ltd (“Madarsa,” “we,” “us”). These Terms explain your responsibilities as an instructor and our rights related to your course content. As an instructor, you are contracting directly with Dcimal Intelligence Pvt Ltd (“Madarsa,” “we,” “us”), regardless of whether another Dcimal subsidiary facilitates payments to you.

By creating and publishing a course on Madarsa, you agree to these Instructor Terms.

1. Instructor Obligations

As an instructor, you are responsible for all content that you post, including lectures, quizzes, coding exercises, practice tests, assignments, resources, answers, course landing page content, labs, assessments, and announcements (“Submitted Content“).

You represent and warrant that:

  • you will provide and maintain accurate account information;
  • you own or have the necessary licenses, rights, consents, permissions, and authority to authorize Madarsa to use your Submitted Content as specified in these Terms and the Terms of Use;
  • your Submitted Content will not infringe or misappropriate any third party’s intellectual property rights;
  • you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content and use of the Services; and
  • you will ensure a quality of service that corresponds with the standards of your industry and instruction services in general.

You warrant that you will not:

  • post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;
  • post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;
  • use the Services for business other than providing tutoring, teaching, and instructional services to students;
  • engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording;
  • frame or embed the Services (such as to embed a free version of a course) or otherwise circumvent the Services;
  • impersonate another person or gain unauthorized access to another person’s account;
  • interfere with or otherwise prevent other instructors from providing their services or content; or
  • abuse Madarsa resources, including support services.

1.1 Creating Courses:
When you create a course on Madarsa, you must provide accurate, complete, and up-to-date information. This includes ensuring that the course content complies with all applicable laws and regulations, and that you have the necessary rights, licenses, and permissions to use any third-party content in your courses.

1.2 Content Standards:
Your course content must meet high standards of quality and originality. It should not include any content that is offensive, defamatory, or infringes on any third-party rights.

1.3 Interactions with Students:
You agree to interact with students respectfully and professionally. You must not engage in any activity that harms the student experience, including but not limited to making false promises, harassing students, or providing misleading information.

1.4 Instructor Responsibilities:
You are responsible for all content you post, including ensuring it is lawful and does not violate intellectual property or privacy rights. You are also responsible for keeping your course content up to date, including addressing any technical or factual inaccuracies.

2. License to Madarsa

2.1 Grant of License:
By publishing a course on Madarsa, you grant us the right to market, distribute, and otherwise use the content. This license includes the right to sublicense the content to third parties.

2.2 Rights You Grant:
You retain ownership of the content you post on Madarsa, but you grant us a license to use, reproduce, distribute, and publicly display your content on the platform and in any media we may use to promote our platform.

3. Pricing and Payments

3.1 Setting Prices:
As an instructor, you may set the price for your course. However, you agree that Madarsa may offer discounts or promotions on your course at its discretion.
You give us permission to share your Submitted Content for free with our employees, with selected partners, and in cases where we need to restore access to accounts who have previously purchased your Submitted Content. You understand that you will not receive compensation in these cases.

If a student purchases a product or service in a country that requires Madarsa to remit national, state, or local sales or use taxes, value added taxes (VAT), or other similar transaction taxes (“Transaction Taxes“), under applicable law, we will collect and remit those Transaction Taxes to the competent tax authorities for those sales. We may increase the sale price at our discretion where we determine that such taxes may be due. For purchases through mobile applications, applicable Transaction Taxes are collected by the mobile platform (such as Apple’s App Store or Google Play).

3.2 Revenue Share:
You will receive a percentage of the net revenue received by Madarsa for your course. The current revenue share is outlined in our Revenue Share Policy, which may be updated from time to time.

3.3 Payment Terms:
Madarsa will pay you your earned revenue on a monthly basis, provided that your balance meets the minimum payout threshold. Payments will be made via the payment method you specify.

4. Refunds

4.1 No Refunds Policy:
Madarsa maintains a strict no-refund policy due to the digital nature of the content. As such, students who purchase your course will not be entitled to a refund, and you will retain your portion of the revenue.

4.2 Chargebacks:
If a student issues a chargeback on a purchase, Madarsa reserves the right to deduct the chargeback amount from your future earnings.

5. Trust & Safety

5.1 Community Guidelines:
You agree to adhere to Madarsa’s Community Guidelines, which are designed to maintain a safe and respectful environment for all users. Violation of these guidelines may result in suspension or termination of your account.

5.2 Prohibited Content:
You must not post content that violates our content policies, including content that is illegal, sexually explicit, hateful, or that promotes violence or discrimination.

5.3 Compliance:
You agree to comply with all applicable laws and regulations related to your use of the Madarsa platform and your provision of courses.

6. Termination

6.1 Instructor Termination:
You may terminate your instructor account at any time by providing notice to Madarsa. Upon termination, your courses may be removed from the platform, but any rights to students who have already enrolled will continue.

6.2 Madarsa Termination:
Madarsa may terminate your account or remove your courses at its discretion, especially if you breach these Terms or any applicable law. Upon termination, any unpaid revenue will be forfeited.

7. Relationship with Students

7.1 Student Data:
When a student enrolls in your course, you will have access to certain data about them. You agree to use this data only as necessary to provide your services to those students and not for any other purpose.

7.2 Student Conduct:
While Madarsa encourages positive and professional interactions between instructors and students, Madarsa is not liable for any issues that arise from such interactions.

8. Miscellaneous Legal Terms

8.1 Modifications to Terms:
Madarsa reserves the right to modify these Instructor Terms at any time. If any substantial changes are made, we will notify you via email or through the platform. Your continued use of the platform after changes are made will constitute your acceptance of the new terms.

8.2 Dispute Resolution:
Any disputes arising under these Instructor Terms will be governed by the laws of India and will be resolved exclusively in the courts located in Muzaffarpur, Bihar, India.

8.3 Severability:
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

8.4 Relationship between us:
You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

8.5 Updating These Terms
From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and Madarsa reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.
Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.
